(h)	Escrow Agent is hereby authorized to rely on instructions from Buyer and Mary H. Ellis, Beth Hudson, or Martha Hood or any other officer designated in writing by Seller on behalf of Seller under this Agreement.
(i)	Escrow Agent shall notify the Mississippi Secretary of State in writing upon the disbursement of the Escrow Fund pursuant to Section 6. Furthermore, the Mississippi Secretary of State shall have the right to make copies of the Escrow Agreements entered into by Buyer (s) upon reasonable notice to Escrow Agent.
(10) Notices. Any notice or other communication relating to this Agreement shall be in writing and shall be deemed to have been given (i) on the date of personal delivery, (ii) on the third day after deposit in U.S. Mail if mailed by registered or certified mail, postage prepaid and return receipt requested, (iii) on the next day after delivery to a nationally recognized overnight courier service if sent by such courier service for next day delivery, or (iv) on the same date sent by telefax (if confirmed by telephone) and if addressed to a party at its address stated on the signature page of this Agreement, or at any other address as any party may specify for this purpose by like notice to the other parties. Escrow Agent is authorized to deliver to either party hereto a copy of any notice received by Escrow Agent from any other person or party relating to the Escrow Fund.
(a)	Governing Law. This Agreement shall be governed by, and construed and enforced in accordance with, the laws of the State of Mississippi, without reference to its conflict of laws principles.
(b)	Severability. Whenever possible, each provision of this Agreement shall be interpreted in such manner as to be effective and valid under Mississippi law, but if any p.rovision shall be prohibited by or be invalid under applicable law, such provision shall be ineffective to the extent of such prohibition or invalidity, without invalidating the remainder of such provision or the remaining provisions of this Agreement.
(c)	Entire Agreement; Binding Effect. This Agreement contains the entire understanding by and among the parties with respect to the matters contained herein and shall be binding upon and shall inure to the benefit of the parties hereto and their respective successors and assigns.
